The transaction is expected to generate over $1 billion in gross proceeds, which the firm will allocate toward its digital asset reserve strategy.
Led by Jaime Leverton, the former CEO of Hut 8, ReserveOne will acquire and manage a diverse portfolio of digital assets, including Bitcoin, Ether, and Solana. The company also plans to generate yield through strategies such as institutional staking and lending. Leverton’s leadership signals a strategic focus to position ReserveOne as a significant player in the digital asset industry.
The merger agreement includes $297.7 million from M3-Brigade’s trust account and $750 million in committed capital from institutional investors. Key contributors to the private investment in public equity (PIPE) financing include Blockchain.com, Kraken, Galaxy Digital, and Pantera Capital. Once the merger is finalized in the fourth quarter of 2025, ReserveOne will trade on the Nasdaq under the symbols RONE and RONEW.
The company also announced its executive leadership, with Tether co-founder Reeve Collins serving as Executive Chairman. The team is further strengthened by Wilbur Ross, former U.S. Secretary of Commerce, and Sebastian Bea, a former executive at BlackRock and Coinbase Asset Management, who joins as President and Head of Investment. This leadership team underscores ReserveOne’s objective to execute an investment-driven crypto reserve strategy backed by institutional expertise.
